Terms and Conditions of Crocodilla Ltd
General
In these conditions the following words have the following meaning
‘The company’ – means Crocodilla ltd (company number 4037441)
Whose registered office is at –
71 The Hundred, Romsey, Hampshire United Kingdom SO51 ONN
‘The customer’ – means the company or person who buys or agrees to buy goods from the company
‘Goods’ - means the articles that the customer agrees to buy from the company
‘Price’ – means the price for the goods excluding carriage, packing, insurance & vat.
- Within these conditions or in any quotation or estimate given by the company (whether in writing or verbal) any reference to working days, working days are any days excluding Saturdays, Sundays, Christmas day, boxing day, good Friday, new years day or any other statutory holiday
- These conditions contain the entire terms of the agreement between the company and the customer and all orders accepted or quotations given are subject to these conditions placed.
- Any stipulations placed on the order by the customer will be excluded and shall be deemed inapplicable to any order placed with the company unless expressly agreed & expressed in writing as a variation of the conditions by a director of the company
- The contract is governed by the law of England & Wales subject to the jurisdiction of the courts of England and Wales only- all contracts shall be deemed to be made in Romsey Hampshire
- Estimates & price lists are subject to alteration without notice quotations given are open for a maximum of 30 days unless stated upon the quotation document-offer, the company reserves the option to withdraw the quotation within this timescale, by verbal or written notice.
- The company may cancel all or any part of this contract before the goods are delivered by giving written notice of its intentions, any advance monies proffered by the customer will be refunded as part of the contract. The company will not be liable for any loss or damage whatsoever arising from such cancellation.
Prices
- all prices quoted except in the case of goods expressly stated by the company are to be sold from stock & are based upon market prices & rates at that time of the contract they are also subject to increase by the company prior to the despatch of the items in the event of a change of price form the suppliers by that date
- Quotations given by the company relate to quantities specified in the quotation only, the company shall be under no obligation to offer the same price for smaller quantities based on the original quote
- All prices quoted are net of VAT & carriage except, where otherwise expressly stated.
Transport & delivery
- Where the buyer undertakes to collect the goods Crocodilla ltd shall not in any circumstances be liable for any damage from whatever cause which arises while the goods are in transit
- The company will provide an estimated date of delivery based upon the performance of the carrier, the company shall not be liable for late, mislaid or time deliveries failing to arrive due to circumstances beyond reasonable control
- Where Crocodilla provides transport (through a carrier) it is agreed that the products leave us in perfect condition ,in the unlikely event of damage or short delivery we must be notified in writing within 48 hours of receipt of goods of the shortage or damage after this timescale no shortages of deliveries will be entertained.
Defects and shortages
- The customer must inspect all goods upon receipt of delivery , and notify the company of any shortfalls within 48 hours of delivery using the couriers POD as the timescale for reporting
- should any part or component be missing or arrive damaged, the buyer shall afford the company the opportunity to inspect the goods within a reasonable time and before use is made of them , if the customer fails to comply with this provisions the goods shall conclusively presumed to be in accordance with the contract and free from any defect or damage which be apparent on reasonable examination of the goods and the customer shall be deemed to accepted the goods
- The visual quality of the powdercoated finish, is directly affected by the surface appearance of the substrate metals & while every effort is taken to ensure perfect finishes, hot zinc metal spraying and powdercoating constituents may be affected by the composition and make up of the base material I.e. Steel . Crocodilla ltd cannot be held liable for any surface defects caused by the base material composition.
- all Written complaints or account queries must be received within 48 hours of deliveries
Products
- Goods are sold on the understanding that they are designed for the purpose intended, if through failure of the product it transpires that these were used outside of their intended design criteria Crocodilla ltd accepts no liability for the failure of the products or any loss damage, or injury that may arise as a result of this misuse.
Right of title
- the property of and title of the goods remain with Crocodilla ltd and will not pass to the buyer until all funds appertaining to the individual contract which has been entered into have been forwarded and cleared at our account
Contracts
- Where special discounts and agreements have been confirmed - no further discounts can be made available regardless of subsequent turnover achieved. This includes all forms of retrospective and volume based discounting.
- Where free samples, Images and technical information have been provided for the promotion of your business, the title of ownership of these items remains with Crocodilla, should the contact be dissolved, these items and the intellectual property rights must be returned along with all outstanding invoice payments within 21 days of the contracts dissolution.
Accounts
- all account customers are reminded that Their accounts must be settled within 30 days net of the preceding month failure to accede to this May render you liable to interest payments being applied of 4% per month and the withdrawal of any special price/bonus schemes agreed between the parties of this agreement.
- failure to offer payment within this timescale will place your account on a Proforma basis until such time as Crocodilla ltd deem your payment scheduling warrants reintroduction to the credit account scheme .
Warranties
- That the goods will at the time of delivery correspond to the description given by the company
- If the Seller is not the manufacturer of the Goods, it shall transfer the benefit of any warranty or guarantee that it has been given.
- The Buyer accepts that it buys or is deemed to buy the Goods as seen and in the condition they are at the time the order is placed.
- The Seller warrants that the Goods shall be of satisfactory quality within the meaning of the Sale of Goods Act 1979; and reasonably fit for their purpose.
- If any of the Goods do not conform with the warranty condition the Seller shall collect the Goods and may:
- Carry out repairs to the Goods;
- Replace the Goods or any defective part; or
- Refund the price of such Goods.
- The Seller shall deliver any repaired or replacement Goods to the Buyer's premises.
- The Seller's liability for breach of warranty shall be limited to complying with these conditions and as a result have no further liability.
- Our warranty remains valid with clients only during continuance of trading should the customer cease business with Crocodilla ltd, the warranty becomes null & void for future or retrospective claims on crocodillas’ products or services however caused.
If the performance of the Contract or any obligation under it is prevented, restricted, or interfered with by reason of circumstances beyond the reasonable control of the Seller and it gives prompt notice to the Buyer, the Seller shall be excused from the performance to the extent of the prevention, restriction, or interference, but the Seller shall use its best endeavours to avoid or remove the causes of non-performance and shall continue performance under the contract with the utmost dispatch whenever the causes are removed or diminished. .
